What is BOI filing under the Corporate Transparency Act?

The Corporate Transparency Act (CTA, 2021) requires most US LLCs, corporations, and LPs to disclose their beneficial owners to FinCEN. A beneficial owner is anyone who owns 25% or more of the company or exercises substantial control. Non-compliance carries fines of up to $500/day capped at $10,000 per violation.

Which entities are exempt from BOI reporting?

The CTA lists 23 exemption categories, including publicly traded companies, regulated financial institutions, SEC-reporting entities, tax-exempt organizations, large operating companies (20+ full-time employees, $5M+ US revenue, US physical presence), and dormant entities. If your entity does not qualify for an exemption, it must file.

What changes trigger a BOI update filing?

Any change to reported beneficial ownership information must be filed within 30 calendar days: ownership transfers crossing the 25% threshold, changes to a beneficial owner's legal name, address, or government-issued ID, or dissolution of the entity. The 30-day clock starts when the triggering event occurs, not when you learn of it.
